Legal Counsel, part time, Oxfordshire, commercial law

Our client, a growing SME in the energy sector is seeking a part time Legal Counsel to join their expanding team. The Legal Counsel will be responsible for providing legal counsel and guidance to management, employees and the Board of Directors.

Responsibilities will include legal issues relating to sales and operations, contracts, and general commercial business matters and draft and negotiate all commercial contracts (including product sales agreements, services agreements, license agreements, consulting agreements, and non-disclosure agreements). The Legal Counsel will also be responsible for monitoring, maintaining and administering company books, shareholder documentation, share option grants and related agreements as well as supporting the executive team, board and outside counsel with complex transactions, including strategic partnering arrangements. The role will also include protection of domestic and international property as well as corporate insurance and corporate governance.

Candidates will be UK qualified with at least 3 years PQE, preferably within a commercial or corporate practice. Strong commercial knowledge, experience of advising Boards of Directors, management teams and other stakeholders is essential as is experience in structuring, drafting and negotiating complex business transactions and international operations. Excellent negotiating skills and general business acumen and the ability to make sound decisions, take independent action and juggle multiple transactions in a fast-paced environment.
