Key outcomes:

  • Managing key elements of the Diageo plc AGM, including the event organisers and scripts
  • Acting as secretary to senior Boards and Committees
  • Providing governance input to Employee Share Schemes, including minuting events, preparing Stock Exchange announcements and liaising with other internal stakeholders and external advisers
  • Taking responsibility for production of certain shareholder documents for Diageo plc
  • Participating in projects including those owned by Legal, Tax, Treasury and Diageo Registrars
  • Providing advice and assistance to the businesses and other corporate departments on all statutory compliance and other company secretarial matters
  • Helping to ensure compliance with Stock Exchange and statutory requirements wherever Diageo shares are listed (currently UK/USA/France/Ireland) and to help manage relationships with exchanges/advisers
  • Deputising for the Deputy Secretary, when necessary (including as Code Manager for the Diageo Dealing in Securities Code)

Essential qualifications / experience required i.e. language, technical qualifications etc

  • A degree is essential, possibly in a related discipline.
  • A chartered secretary, solicitor or barrister.
  • Broad “city”/stock market knowledge.
  • Excellent technical skills – in particular knowledge of Purple Book and similar regulatory materials.
  • Good drafting skills, combining clarity with accuracy.
  • “Due diligence” capability
  • PC literate, in particular, Microsoft Outlook and Word
  • Five years’ post-qualifying experience, of which at least two years will have been dealing directly with London Stock Exchange listed company secretarial matters.
