Insurance Secretariat is a team of 11 FTE colleagues providing corporate governance services to the Insurance & Wealth Division of LBG. Our expertise covers the planning and delivery of legal entity Board and Committee meetings, minuting, storage and data-mining of Board information, maintaining statutory registers and providing specialist governance advice and services, including the appointment of new directors and their induction. We also maintain the corporate governance frameworks in use within the Insurance & Wealth division and advise the business on them, also giving governance support for complex projects when required. Additionally we train the business in boardroom protocols, how to produce effective board papers, minuting skills and meeting management. Our partners reach across all of the Insurance & Wealth Division and into many wider Group areas.

In this role, you'll work alongside two other Senior Managers and other team experts to provide a varied and challenging range of governance services. You'll need to have a strong and lively interest in corporate governance and be able to learn at speed how our business is run. Additionally, you will need to be able to handle complex challenges and articulate problems and solutions clearly.

 

Other accountabilities include:

 

  • Provision of professional expertise, providing proactive professional advice as a trusted advisor to senior partners and for strategic projects

  • Support the development of policy and procedures, taking into consideration the Group's Corporate Governance Framework and its inter-relation with the frameworks within Insurance, managing self and team in the context of relevant risk policies and frameworks

  • Build and maintain external and internal network and relationships to provide appropriate professional advice to achieve the Group's objectives

  • Initiate and deliver agreed Insurance Corporate Governance change programmes to achieve continuous improvement

  • Report and call out company secretarial / governance issues within own / supported area, recommending solutions as required

  • Delivery of senior company secretarial service for executive level meetings and statutory board / committee meetings (includes attending / minuting meetings, regular planning meetings with senior executives and external directors, oversight, coordination of planning undertaken by other team members and delivery of board evaluation/committee effectiveness reviews)

  • Playing an active role in the leadership of the team.

 

 

What we'll need from you:

 

 

  • Qualified and experienced company secretarial professional (Chartered Governance Professional, Legal Professional or similar

  • Understanding of the finance / insurance industry and the regulatory regime

  • Detailed understanding of governance frameworks and applying this to provide clear and concise company secretarial advice to the business

  • Strong partner management and communication skills and capable of advising senior executives / board members

  • A pro-active and enthusiastic individual with the ability to work on own initiative, using good judgement when to call out any necessary issues

  • Experienced line manager with strong team working skills and adopts a collaborative approach

  • Ability to lead and drive forward initiatives with minimal guidance as required.
